La plateforme dénommée « Mon Guichet Entreprise » est exploitée par la société FormalistAl, Société par Actions Simplifiée Unipersonnelle immatriculée au Registre du Commerce et des Sociétés de Paris sous le numéro 999 658 586, dont le siège social est situé 30 boulevard de Sébastopol, 75004 Paris (ci-après la « Société »). L’accès, la navigation, l’utilisation ou la souscription à un service proposé sur la plateforme impliquent l’acceptation sans réserve des présentes conditions.
La Société développe et exploite une infrastructure logicielle automatisée permettant la génération algorithmique de documents, l’orchestration technique de flux administratifs et l’interfaçage numérique avec des systèmes tiers publics ou privés. Elle n’exerce aucune activité réglementée et n’assume aucune mission d’assistance juridique personnalisée, d’analyse normative individualisée, ni aucune obligation de conseil ou de résultat, son intervention se limitant strictement à une mise à disposition d’outils numériques opérant selon des paramètres déterminés par l’utilisateur.
La Société n’est ni avocat, ni expert-comptable, ni conseil en propriété industrielle, ni professionnel soumis à un ordre réglementé. Aucun échange, y compris oral, électronique ou automatisé, ne saurait être interprété comme constituant un conseil juridique, fiscal ou stratégique. Aucune relation fiduciaire, mandat implicite, représentation ou obligation de diligence renforcée n’est créée du fait de l’utilisation des services.
Seules les informations expressément validées par l’utilisateur via les formulaires numériques, horodatées par les systèmes de la Société et conservées dans ses journaux informatiques constituent la base contractuelle opposable. Toute déclaration verbale, discussion téléphonique, échange informel ou communication non confirmée par écrit est réputée juridiquement inexistante et inopposable.
L’utilisateur déclare et garantit l’exactitude, la sincérité, l’authenticité et la licéité des données, informations et documents transmis. Il assume l’entière responsabilité civile et pénale attachée à ces transmissions, y compris en cas d’erreur, omission, fraude, falsification, usurpation d’identité ou déclaration inexacte. La Société décline toute responsabilité relative aux conséquences administratives, juridiques, financières ou réputationnelles résultant de données erronées.
Les services peuvent intégrer des systèmes d’intelligence artificielle opérant selon des modèles probabilistes susceptibles de produire des approximations, erreurs ou incohérences. L’utilisateur reconnaît expressément que ces outils sont fournis sans garantie d’exactitude absolue et qu’il lui appartient de procéder à toute vérification utile avant validation définitive.
La Société ne garantit ni l’acceptation, ni l’enregistrement, ni l’immatriculation, ni le délai de traitement d’un dossier soumis à une administration ou à un tiers. Toute décision appartient exclusivement aux autorités compétentes.
La responsabilité totale et cumulée de la Société, toutes causes confondues, est strictement limitée au montant effectivement payé par l’utilisateur au titre du service concerné, cette limitation s’appliquant par réclamation et par année civile. Sont expressément exclus les dommages indirects, consécutifs, immatériels, spéciaux, punitifs ou commerciaux, y compris les pertes d’exploitation, pertes de chiffre d’affaires, manque à gagner ou atteinte à l’image.
Toute action à l’encontre de la Société devra être intentée dans un délai maximal de douze (12) mois à compter du fait générateur, sous peine de forclusion.
Conformément à l’article L221-28 du Code de la consommation, l’utilisateur sollicite expressément l’exécution immédiate du service dès validation du paiement et renonce de manière irrévocable à son droit de rétractation.
Tout paiement validé est définitif. En cas de contestation bancaire abusive, la Société se réserve le droit d’engager toute procédure de recouvrement et de réclamer l’intégralité des frais engagés.
Les journaux informatiques, horodatages, enregistrements serveurs et données techniques conservés par la Société constituent des preuves parfaites entre les parties.
Les présentes conditions sont régies par le droit français. Tout litige relève de la compétence exclusive des tribunaux de Paris.
The platform named “Mon Guichet Entreprise” is operated by the company FormalistAl, a Simplified Joint Stock Company (SASU) registered with the Paris Trade and Companies Register under number 999 658 586, whose registered office is located at 30 boulevard de Sébastopol, 75004 Paris (hereinafter the “Company”). Access, browsing, use, or subscription to any service offered on the platform implies full and unconditional acceptance of these Terms.
The Company develops and operates an automated software infrastructure enabling the algorithmic generation of documents, the technical orchestration of administrative workflows, and digital interfacing with third-party public or private systems. It does not carry out any regulated activity and assumes no mission of personalized legal assistance, individualized normative analysis, nor any obligation of advice or result, its intervention being strictly limited to the provision of digital tools operating according to parameters determined by the user.
The Company is neither a lawyer, nor a chartered accountant, nor an industrial property advisor, nor a professional subject to a regulated professional order. No exchange, including oral, electronic, or automated communication, may be interpreted as constituting legal, tax, or strategic advice. No fiduciary relationship, implied mandate, representation, or enhanced duty of care is created as a result of the use of the services.
Only information expressly validated by the user through the digital forms, timestamped by the Company’s systems and stored in its server logs, constitutes the binding contractual basis between the parties. Any verbal statement, telephone discussion, informal exchange, or communication not confirmed in writing shall be deemed legally nonexistent and unenforceable.
The user declares and guarantees the accuracy, sincerity, authenticity, and legality of the data, information, and documents transmitted. The user assumes full civil and criminal liability attached to such transmissions, including in cases of error, omission, fraud, falsification, identity theft, or inaccurate declaration. The Company disclaims all liability for administrative, legal, financial, or reputational consequences resulting from incorrect data.
The services may incorporate artificial intelligence systems operating according to probabilistic models that may generate approximations, errors, or inconsistencies. The user expressly acknowledges that such tools are provided without any guarantee of absolute accuracy and that it is the user’s responsibility to carry out any necessary verification prior to final validation.
The Company does not guarantee the acceptance, registration, incorporation, or processing timeframe of any file submitted to an administration or third party. Any decision rests exclusively with the competent authorities.
The total and cumulative liability of the Company, for all causes combined, is strictly limited to the amount effectively paid by the user for the relevant service, such limitation applying per claim and per calendar year. Indirect, consequential, intangible, special, punitive, or commercial damages are expressly excluded, including but not limited to loss of business, loss of revenue, loss of profit, or damage to reputation.
Any action brought against the Company must be initiated within a maximum period of twelve (12) months from the triggering event, failing which it shall be time-barred.
In accordance with Article L221-28 of the French Consumer Code, the user expressly requests immediate performance of the service upon validation of payment and irrevocably waives the right of withdrawal.
Any validated payment is final. In the event of an abusive bank dispute or chargeback, the Company reserves the right to initiate any recovery procedure and to claim full reimbursement of costs incurred.
Server logs, timestamps, digital validation records, and technical data stored by the Company shall constitute full and binding evidence between the parties.
These Terms are governed by French law. Any dispute falls under the exclusive jurisdiction of the courts of Paris.
